Please read these Terms of Service carefully before using the Scriptackle platform. These Terms govern your access to and use of our services, including our AI-powered SEO content platform, tools, and associated APIs.

1. Acceptance of Terms

  • By accessing or using the Scriptackle platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
  • These Terms constitute a legally binding agreement between you and Scriptackle ("we," "us," or "our"). We reserve the right to modify these Terms at any time.

2. Communications

  • By creating an account, you agree to receive service-related communications, including pipeline status updates, billing notifications, and security alerts.
  • You may opt out of marketing and promotional communications at any time by following the unsubscribe link in those emails or by contacting us directly.

3. Accounts

  • You must be at least 18 years old to create an account. You guarantee that the information you provide is accurate, complete, and current at all times.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account or any other breach of security.
  • We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Subscriptions & Payment

  • The Service is offered through subscription plans as described on our pricing page. By selecting a subscription plan, you agree to pay the applicable fees.
  • Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel at any time through your account settings.
  • All fees are non-refundable unless required by applicable law. We reserve the right to change pricing with at least 30 days' notice.
  • We may suspend your access to the Service if payment is not received by the due date. You remain responsible for all fees incurred during your subscription period.

5. Customer Data & Ownership

  • "Customer Data" means any data, content, keywords, articles, briefs, or materials you create, upload, or generate through the Service.
  • You retain full ownership of your Customer Data. We do not claim ownership over any content you create using the Service.
  • By using the Service, you grant us a limited, non-exclusive license to process your Customer Data solely for the purpose of providing and improving the Service.
  • You are solely responsible for the accuracy, legality, and appropriateness of your Customer Data. You represent that you have all necessary rights to submit your Customer Data to the Service.

6. AI/ML Data Use Policy

  • We do not use your Customer Data to train, develop, or improve generalized artificial intelligence or machine learning models.
  • Content generated by our AI agents is created specifically for your requests and is not shared with or used for other customers.
  • We may use aggregated, anonymized, and de-identified data that cannot be associated with you or your organization for analytical purposes and to improve our Services.
  • Any data accessed through third-party integrations (e.g., WordPress, Google APIs) is used solely for providing services to you and is not retained for AI/ML training purposes.

7. Intellectual Property

  • The Service, including its original content, features, functionality, and underlying technology, is the exclusive property of Scriptackle and its licensors.
  • The Service is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
  • Generated content created through the Service is your property, subject to the Customer Data provisions above.

8. Acceptable Use

  • You agree not to use the Service to generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
  • You will not attempt to circumvent any security features, rate limits, or access controls of the Service.
  • You will not use the Service to impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • You will not use the Service for any purpose that violates applicable laws or regulations, including but not limited to copyright, trademark, and privacy laws.

9. Third-Party Integrations

  • The Service may integrate with third-party platforms (e.g., WordPress, Google Analytics, Google Search Console). Your use of these integrations is subject to the respective third party's terms of service.
  • We are not responsible for the availability, accuracy, or practices of third-party services. We do not control and are not liable for any content, products, or services provided by third parties.
  • You authorize us to access and interact with third-party services on your behalf, as necessary to provide the Service features you have enabled.

10. Termination

  • You may terminate your account at any time by canceling your subscription and contacting us to request account deletion.
  • We may terminate or suspend your account immediately, without prior notice, for any breach of these Terms or for any other reason at our sole discretion.
  • Upon termination, your right to use the Service ceases immediately. We will make your Customer Data available for export for up to 30 days following termination.
  • All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

11. Limitation of Liability

  • To the maximum extent permitted by law, Scriptackle shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of or inability to use the Service.
  • Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
  • The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Indemnification

  • You agree to defend, indemnify, and hold harmless Scriptackle and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from:
  • Your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any Customer Data you submit through the Service.

13. Governing Law

  • These Terms shall be governed by and construed in accordance with the laws of Nepal, without regard to its conflict of law provisions.
  • Any disputes arising from or relating to these Terms or the Service shall be resolved in the courts of Nepal.

14. Changes to These Terms

  • We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-platform notification at least 30 days before they take effect.
  • Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.
